We are working with a corporate bank who are key player in trade finance, capital markets and corporate lending. They are looking to hire a Senior Legal Counsel on a permanent contract.
THE RESPONSIBILITIES:
Being alive to the political, legal, regulatory and reputational implications of decisions and courses of action at all levels.
Assisting with the development of controls and systems; and
Influencing the way in which business is conducted to manage these risks.
Partner with business/ functional line management in recommending, developing, and executing business initiatives within applicable statutory and regulatory frameworks.
Be proactive in advising on day-to-day legal queries as a subject matter expert in areas of responsibility and provide senior advisory services to business partners.
Negotiate, coordinate and monitor management of complex legal issues and consult with the bank and the Deputy General Counsel in relation to the implementation of key decisions.
Appropriately assess risk when business decisions are made.
Participate in departmental strategic planning and development and contribute to business objectives by using knowledge of industry, laws and regulations.
Draft, review and negotiate secured and unsecured lending facilities, including multicurrency and cross-border lending arrangements.
Advise on a wide range of trade and working capital products, from letters of credit, guarantees, bonds and indemnities, to trade loans and commodity financing.
Review and negotiate vendor contracts and handle contract management issues as these arise (including contractual disputes).
Work effectively with external legal counsel when the need arises.
Horizon scanning of key legal and regulatory developments in the market.
EXPERIENCE REQUIRED:
Experienced banking lawyer with a proven excellent track record and expertise in trade finance matters.
Emerging market knowledge and experience is desirable.
Strong knowledge of LMA template loan documentation.
Working knowledge of the UK regulatory regime.
Experience of reviewing commercial contracts is preferred.
Ideally both private practice and in-house experience.
Experience of a broad range of lending products and cross-border deal structures.
